Terms & Conditions
1. Agreement and who these Terms apply to
1.1 By creating an account, signing in or using the Service, you confirm that you have read and accepted these Terms and our Privacy Policy.
1.2 If you use the Service for a business, you confirm that you have the authority to accept these Terms for that business. In that case "you" means both you and the business.
1.3 You must be at least 18 years old, or the age of legal majority where you live, to use the Service.
2. What the Service is, and what it is not
2.1 The Service is a bookkeeping and business-tracking tool. It lets you record accounts, income, expenses, transfers, clients, projects, invoices, bills, tax estimates, tasks and similar business information, and it shows you reports based on what you enter.
2.2 The Service does not handle money. It is not a bank, payment processor, wallet or financial institution. It does not connect to your bank, does not ask for your bank login, card number, PIN or OTP, and cannot send, receive, withdraw or transfer funds. An "account", "balance" or "transfer" inside the Service is only a record that you or your team typed in.
2.3 Accuracy depends on your entries. All balances, totals, reports and estimates are calculated from the information entered by you and your team. You are responsible for checking them against your real bank and wallet balances.
2.4 No professional advice. Tax estimates, reports, insights and AI answers are for planning only. They are not accounting, tax, legal, investment or financial advice. Please consult a qualified professional before you file taxes or make financial decisions.
3. Your account
3.1 You sign in with your email address and a one-time code. You must give a correct email address and keep access to it. You are responsible for everything done through your account.
3.2 Keep your email inbox secure. Tell us at once at contact@dgtalgrow.com if you think someone else has used your account.
3.3 The person who creates a workspace is its owner. Only the owner can manage the plan and billing, open Trash, manage team access and delete the workspace.
3.4 One workspace is meant for one business or one person's own use. Please do not share one login between several people; use team access instead where your plan allows it.
4. Team members and access
4.1 "Team & Salary" records are internal records only. A person listed there does not receive a login.
4.2 If your plan includes team seats, the owner can give other people their own login through Team Access. The owner decides what each person can see and do, and is responsible for the actions of everyone they invite.
4.3 Seat limits depend on your plan. We may stop new invitations once your limit is reached.
5. Plans and fees
5.1 The Service is offered in plans (currently Starter, Professional and Business Command). Each plan has its own features and limits, such as the number of active projects, bank accounts, clients, open tasks and team seats. The current details are shown in Plan & Billing and on our pricing page.
5.2 Limits are applied by the Service. If you reach a limit, you can still view and export your existing data, but you may need to upgrade or remove items to add more.
5.3 Paid plans are billed by DGTAL GROW through our billing website, using the payment methods shown at checkout (for example card, PayPal, SSLCOMMERZ or bank transfer). Prices, taxes and the billing period (monthly or yearly) are shown before you pay.
5.4 Your subscription renews at the end of each billing period at the then-current price for your plan, unless you cancel or change it first. Card and PayPal renewals may be taken automatically. For other methods we may send you a payment link.
5.5 If a payment fails or is late, we may give you a grace period, then limit or suspend paid features until the account is paid. Your data is not deleted because of a late payment.
5.6 We may change prices or plans. A price change applies from your next renewal, and we will tell you in advance.
6. Changing your plan
6.1 Moving to a higher plan. Your billing date does not change. You pay only the difference for the days left in your current billing period: the new plan's price for the remaining days, minus a credit for what you already paid for the unused part of your current plan, plus any tax. From the next renewal, the new plan's full price applies.
6.2 Moving to a lower plan. We calculate the credit for the unused part of your current plan, minus the new plan's price for the remaining days. If a balance is due to you, we show it as a refund amount.
6.3 Approval. Plan changes between paid plans are confirmed by us. A paid upgrade takes effect, and a downgrade is applied, once we approve it. Until then you keep your current plan. We may decline a request, for example if it would break a limit or if the payment cannot be verified, and we will refund any amount you paid for a declined request.
6.4 Refunds on a downgrade are sent back by us to your original payment method where possible, or by another method we agree with you. They are not automatic and may take a few business days.
6.5 Features and limits after a downgrade. When you move to a lower plan, features and limits of the higher plan stop applying. Your data stays safe, but some items may become view-only until you are back within the limits.
6.6 Calculations are estimates based on days left in the period. Figures shown at checkout or in our approval message are the amounts we will charge or refund.
7. Cancellation and refunds
7.1 You may cancel at any time from your plan settings or by writing to us. Cancellation stops future renewals. Your paid features continue until the end of the period you have paid for, unless we agree otherwise.
7.2 Except for plan-change credits under section 6, and where the law gives you a right to a refund, payments for a period that has started are not refundable. If you believe you were charged by mistake, write to contact@dgtalgrow.com within 30 days and we will look into it fairly.
7.3 After your subscription ends, you can still sign in and export your data for a reasonable period, as described in our Privacy Policy.
8. Your data
8.1 You own your data. All records you enter (accounts, transactions, clients, invoices, files and so on) remain yours. You give us a limited licence to store, process and display them only to run the Service for you, as described in the Privacy Policy.
8.2 You are responsible for the data you enter: that it is lawful, that you have the right to use it, and that any personal data about your clients or team is handled in line with the law that applies to you.
8.3 You can export your data from Settings at any time. We recommend keeping your own regular backups of important records.
8.4 We take reasonable steps to protect and back up the Service, but we cannot guarantee that data will never be lost. You should keep your own copy of anything critical.
9. AI features
9.1 Some plans include an AI assistant ("Ask Your Business"). It answers questions using the records in your own workspace.
9.2 To produce an answer, the relevant parts of your records and your question are sent to the AI provider we use at that time. Please read the Privacy Policy for details. Please do not type secrets such as passwords or card numbers into the assistant.
9.3 AI answers can be wrong, incomplete or out of date. Check important figures against your records. AI output is not professional advice (see section 2.4).
9.4 The assistant only reads and explains your data. It cannot move money, send payments or change your bank.
10. Acceptable use
You agree not to:
- break any law, or use the Service for fraud, money laundering, tax evasion or any illegal activity;
- try to access another person's workspace or data, or bypass limits, plan checks or security;
- upload malware, or anything that harms or overloads the Service;
- scrape, copy, resell or reverse engineer the Service, except where the law allows it;
- use bots or automated means to create accounts or send messages in bulk;
- send us abusive, threatening or misleading messages through Support & feedback;
- upload content you do not have the right to use.
11. Third-party services
11.1 The Service relies on other providers, for example for email delivery, hosting, AI processing and payment processing on our billing website (such as Stripe, PayPal or SSLCOMMERZ). Their own terms apply to their services.
11.2 We are not responsible for outages, delays or errors caused by third-party providers, but we will take reasonable steps to limit their effect on you.
12. Availability and changes to the Service
12.1 We work hard to keep the Service available, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, and we may add, change or remove features.
12.2 If we make a change that significantly reduces what your paid plan includes, we will give you notice and, where fair, a way to cancel.
13. Intellectual property
13.1 The Service, its design, software, text, logos and trademarks belong to DGTAL GROW or its licensors. These Terms give you only a limited, non-exclusive, non-transferable right to use the Service while you have an account.
13.2 If you send us feedback or ideas, we may use them to improve the Service without owing you anything. You still own your own data.
14. Suspension and ending of access
14.1 We may suspend or end your access if you seriously or repeatedly break these Terms, if your use puts the Service or other users at risk, if the law requires it, or if payment is not made after reasonable notice.
14.2 Where reasonable, we will tell you first and give you a chance to fix the problem, and we will let you export your data.
14.3 You can delete your workspace from Settings (owner only). Deleting is permanent once the retention period in the Privacy Policy has passed.
15. Disclaimers
15.1 The Service is provided "as is" and "as available". To the extent the law allows, we do not give any warranty about it, including fitness for a particular purpose, accuracy of calculations or uninterrupted operation.
15.2 We do not guarantee that tax estimates, reports, insights or AI answers are correct or complete, or suitable for your situation.
16. Limitation of liability
16.1 To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost revenue, lost data, or business interruption arising from your use of the Service.
16.2 Our total liability to you for any claim related to the Service is limited to the amount you paid us for the Service in the 12 months before the event that caused the claim.
16.3 Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
16.4 Because the Service does not hold or move your money, we are not responsible for any loss arising from payments, transfers or decisions you make in your own bank, wallet or business.
17. Indemnity
You agree to cover reasonable losses and costs we suffer because of your illegal use of the Service, your breach of these Terms, or a claim that data you entered infringes someone else's rights.
18. Changes, governing law and contact
18.1 Changes. We may update these Terms. We will post the new version here with a new effective date and, for important changes, tell you by email or in the app. If you keep using the Service after the effective date, you accept the new Terms. If you do not agree, you can cancel.
18.2 Governing law. These Terms are governed by the laws of the People's Republic of Bangladesh, and the courts of Dhaka have jurisdiction, unless the law where you live gives you rights that cannot be waived. [Owner: please confirm this choice of law and courts with your lawyer.]
18.3 Whole agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in force. Not enforcing a right right away does not mean we give it up.
18.4 Contact. Questions about these Terms: contact@dgtalgrow.com, or use Settings, then Support & feedback, inside the app.
